Terms of Service

1. Engagement & Statements of Work

All project work commences following the execution of an itemized Statement of Work (SOW) or written quotation approved by both parties. The SOW defines exact deliverables, milestone stages, revision limits, and agreed timelines.

2. Payment Milestones & Invoicing

Standard payment milestones are structured as follows unless explicitly modified in the SOW:

• Advance Deposit: 50% non-refundable advance upon contract signing to secure engineering sprints.
• Staging Review: 25% upon completion of the interactive staging prototype demo.
• Deployment & Handover: 25% final settlement upon final testing, domain deployment, and code transfer.
• Monthly Retainers: Invoiced on the 1st of each billing month and payable within 7 business days.

3. Intellectual Property & Code Ownership

Upon receipt of full final payment, 100% of custom frontend code, styling, database schemas, and tailored assets are transferred to the client. TorFusion Labs retains rights only to pre-existing open-source libraries, general developer toolkits, and anonymized architectural patterns.

4. Client Responsibilities & Timelines

Clients agree to provide brand assets, logos, and required content within 5 business days of project kickoff. Delays in client feedback or content delivery exceed agreed project completion deadlines proportionately.

5. Exclusions & Third-Party Charges

Project fees cover engineering and design labor only. Paid advertising budgets (Google Ads, Meta Ads), custom domain registration renewals, hosting servers, premium third-party API fees, and paid font/stock licenses are paid directly by the client.

6. Warranty & Bug Fix Support

All one-time development projects include a 14-day warranty period post-launch. TorFusion Labs fixes any code bugs or layout defects arising from original specifications free of charge during this window. Subsequent changes or feature additions fall under hourly maintenance rates or monthly care retainers.
